NATIONAL ELECTORAL BOARD OF

COLOMBIA (CNE) This Memorandum of Understanding ("MOU") is entered into as of the "Effective Date" (defined below) between Twitter, Inc., for itself and on behalf of its subsidiaries ("Twitter"), and the National Electoral Board of Colombia ("CNE").

During elections, Twitter's live, open, and public features have been leveraged by political organizations - political parties and movements with legal status, significant groups of citizens and social movements-, govemmental entities, NG0s, citizens and the media, to share and exchange information about these landmark events. Twitter deeply respects the integrity of the election process, which is a cornerstone for all democracies. To this end, the platform engages with national election authorities regularly and consistently bolsters the platforms security and agent review coverage during key moments of election cycles around the world. The present MOU seeks to set the foundation to expand further collaboration in this regard on the Twitter service by

This MOU is established between Twitter and CNE to help each other accomplish mutually beneficial objectives: Enable Twitter to be the place where users find timely and valuable information about the 2019 Elections in Colombia. Enable CNE to use the Twitter platform to make the pubbc aware of all the information relevant to citizens and all parties concerned with the election cycle. Promote the broad dissemination of information relevant to all stakeholders during the Elections, including Media Literacy initiatives.

c. Promover una propagación más amplia de información relevante para todos los actores interesados durante las Elecciones, incluyendo iniciativas de alfabetización mediática.

To this end, Twitter shall: Provide CNE with access to Periscope Producer for the live transmission determined by the CNE as well as for generating conversation in Twitter with the audiences of these events. Provide CNE with consultancy in the development of a bot that will share through Twitter key electoral information requested by Twitter users. The consultancy will include identifying potential developers but CNE will formally engage (and pay) the chosen developer directly. Provide CNE with a training on Twitter Tools, Periscope, Moments, Twitter Mirror, Q&A, Tweetdeck, and Best Practices. Implement and launch a branded hashtag for use by CNE and the general public to assist Twitter users to identify content related to the Elections, to help Twitter users to better ID information concerning the Election Cycle. Promote CNE's Twitter held activations through Twitter's official channels at Twitter discretion.

ANTI-BRIBERY In conformity with the United States Foreign Corrupt Practices Act, the United Kingdom Bribery Act of 2010 and any applicable anti-bribery or anti-corruption laws in Colombia (the "Bribery Laws"), the parties and its personnel shall not directly or indirectly (i) make any offer, payment, promise to pay, or authorize payment, or offer a gift, promise to give, or authorize the giving of anything of value for the purpose of influencing an act or decision of an official of any government or state entity (including a decision not to act) or inducing such official to use his influence to affect any such governmental act or decision in order to assist Twitter or CNE in obtaining, retaining, or directing any business or (ii) take any other action that causes a violation of Bribery Laws.

De conformidad con la Ley de Prácticas de Corrupción Extranjeras de los EE.UU., La Ley Anti-Soborno del Reino Unido de 2010 y cualquier ley antisoborno o anticorrupción aplicable en Colombia (las "Leyes Anti-Soborno"); las partes y su personal, no deberán, de manera directa o indirecta: (i) hacer ofertas, pagos, promesas de pago, autorizarlos, ofrecer regalos, prometer la entrega o autorizar la entrega de cualquier cosa de valor con el propósito de influenciar una acción o decisión (incluyendo omisiones de actuar) de servidores públicos de cualquier gobierno u órgano estatal o inducir a

5. CNE and Twitter shall make their best endeavors to mutually consult with each other before commenting publicly on the nature of this MOU, prioritizing to that effect joint public releases.

Notwithstanding, it is mutually agreed upon that this MOU will be subjected to the national transparency regulations when applicable.
