Introduction and general provisionsARTICLE 1: PURPOSE AND SCOPE OF THESE REGULATIONS These Governance Regulations are issued by the FIFA Council based on the FIFA Statutes and set out FIFA’s general principles concerning its structure, internal organisation and the general regime of powers, responsibilities, competencies and elections. ARTICLE 2: IMPLEMENTATION These Governance Regulations shall be adhered to and implemented by the FIFA administration, the relevant FIFA bodies and all officials as further set out herein. ARTICLE 3: ELIGIBILITY CHECKS All members of the Council (including the President), chairpersons and deputy chairpersons of the standing committees, the independent committees, the expert panels, the normalisation committees and the Football Tribunal, as well as the Secretary General shall be required to fulfil eligibility checks in accordance with Annexe 1 to these regulations prior to their (re-)election or (re)appointment. Eligibility checks are carried out for all other members of the aforementioned committees in the first year of their appointment. ARTICLE 4: INDEPENDENCE Specific independence criteria applying to certain members of FIFA bodies are set out in Annexe 3. 8II. COUNCIL ARTICLE 5: DUTIES, POWERS AND RESPONSIBILITIES 5.1 The Council defines FIFA’s mission, strategic direction, policies and values, in particular with regard to the organisation and development of football and all related matters at a worldwide level. In particular, it: a) approves and issues FIFA regulations; b) deals with global strategies for football and its political, economic and social status; c) defines FIFA’s overall strategy; d) exercises general oversight of the activities of the standing committees and the overall management of FIFA; e) appoints and dismisses the chairpersons, deputy chairpersons and members of the standing committees and of the chambers of the Football T ribunal; the Council may remove any member of a standing committee at any time; f) may decide to establish expert panels or working groups; g) proposes to the Congress for election the chairpersons, deputy chairpersons and members of the Disciplinary Committee, the Ethics Committee, the Appeal Committee and the Governance, Audit and Compliance Committee; h) may decide to set up bureaus and/or sub-committees; i) appoints and dismisses the Secretary General upon the proposal of the President; the Council may also dismiss the Secretary General without such a proposal; j) defines the standards, policies and procedures applicable to the awarding of commercial contracts by FIFA; k) defines the standards, policies and procedures applicable to football development grants; l) defines the standards, policies and procedures regarding the operational costs of FIFA; m) defines the standards, policies and procedures regarding all other businessor finance-related matters of FIFA; 10n) approves the budget analysed by the Finance Committee to be submitted to the Congress for approval; o) approves the accounts and annual audited financial statements, including the consolidated financial statements, to be submitted to the Congress for approval; p) approves the annual report to be submitted to the Congress for approval;

The Council shall not be competent for matters of an executive nature, including daily business and operational matters. Such matters fall under the responsibility of the President and/or the Secretary General. II. 11 Duties, powers, responsibilities and organisation of FIFA bodies and holders of key positionsARTICLE 6: MEETINGS AND DECISION-MAKING 6.1 The Council shall meet ordinarily at least three times a year. 6.2 The President shall convene the ordinary meetings of the Council at least 14 days in advance, stating the date, time and place of the meeting as well as the

Meetings of the Bureau of the Council shall be convened promptly. 6.3 If the President is unable to attend, the longest-serving vice-president shall conduct the meeting as deputy chairperson. Each member of the Council has one vote. ARTICLE 7: COUNCIL MEMBERS’ DUTIES 7.1 The members of the Council shall participate in the meetings in person. 7.2 Council members shall recuse themselves in cases of conflicts of interest and shall immediately notify the President in cases of potential conflicts of interest. 7.3 Council members shall complete and submit the Related-Party Declaration as further detailed in Annexe 2. ARTICLE 8: EXPENSES Expenses of the Council members shall be reimbursed in accordance with the applicable FIFA Compensation, Expenses and Benefits Regulations for Senior Officials. 12B. PRESIDENT ARTICLE 9: CONTRACTUAL RELATIONSHIP WITH FIFA The relationship between FIFA and the President including, in particular, compensation matters, shall be governed by a written contract. The President shall be guided by the following principles: a) integrity, ethics and fair play; b) human rights and humanitarian values; c) non-discrimination, gender equality, equal treatment in general, and the stance against racism; d) solidarity and mutual respect in football, as well as in society in general; and e) promoting friendly and peaceful relations within FIFA, as well as in society in general for humanitarian reasons. 10.4 The President shall have joint powers of signature (with one other person). II. 13 Duties, powers, responsibilities and organisation of FIFA bodies and holders of key positions10.5 The President has, in particular, the following specific duties: a) to propose FIFA’s overall strategy to the Council, ensure that FIFA’s overall strategy is implemented and appraise the Secretary General’s performance; b) to prepare the business of the Council and the Congress; c) to convene meetings of the Bureau of the Council and notify the Council immediately of the decisions passed by the Bureau of the Council; d) to propose the appointment or dismissal of the Secretary General; and e) to engage the members of the President’s Office and terminate their employment. 10.6 The President may delegate certain tasks to the Secretary General or individual members of the Council or committees, or other individuals, who shall report to the President for such delegated tasks.

The Secretary General chairs and heads the Management Board. 12.2 The Secretary General shall have joint powers of signature (with one other person). 12.3 The main duties of the Secretary General are as follows: a) to propose targets for the various divisions in accordance with FIFA’s overall strategy as determined by the President and the Council; b) to approve the organisational structures in each division or set up new divisions; c) to implement decisions passed by the FIFA bodies under the supervision of the President; 14d) to prepare the Congress; e) to appoint and/or dismiss their deputies and chief officers of FIFA; f) to grant limited signatory rights for FIFA, where necessary; g) to issue guidelines and directives for all FIFA employees; h) to propose the salary structure (including bonuses), as well as FIFA’s social benefits to the President for approval; i) to issue guidelines concerning procurement; j) to approve the creation of FIFA subsidiaries and amendments to their structure, as well as acquiring participations and disposal of holdings in companies; k) to determine persons for representation in subsidiaries and companies in which FIFA has a stake; l) to organise the accounting, financial control and financial planning system required for the management of FIFA according to industry standards; m) to facilitate relations with the confederations, member associations and stakeholders; n) to compile the minutes for the meetings of the Congress, the Council and the standing committees; and

II. 15 Duties, powers, responsibilities and organisation of FIFA bodies and holders of key positionsARTICLE 13: MANAGEMENT BOARD 13.1 The Management Board consists of the Secretary General, who chairs the Management Board, and the following members: the deputy or deputies and the chief officers. The President may also attend the Management Board meetings. 13.2 Meetings of the Management Board are held at regular intervals and/or as necessary. 13.3 The duties and responsibilities of the Management Board shall be set by the Secretary General. 13.4 The members of the Management Board shall have joint powers of signature (with one other person). ARTICLE 14: DEPUTY/-IES AND CHIEF OFFICERS 14.1 The deputy/-ies and chief officers report to the Secretary General. 14.2 The duties and responsibilities of the deputy/-ies and the chief officers, including specific reporting lines, are set by the Secretary General.

Members of the FIFA Council may be appointed as specific representatives of that body to individual standing committees at the proposal of the FIFA President. 16.2 The committee shall contain members knowledgeable and experienced in the respective field of function of the committee to which they are appointed. 16.3 Committee members are appointed for a term of office of four years. Committee members may be removed by the Council on proposal of the proposing entity or at its discretion at any time. When a seat on a standing committee becomes vacant, the Council may, at any time, appoint a replacement for the remaining term of office. ARTICLE 17: ORGANISATION 17.1 The Secretary General shall appoint an administrator for each standing committee from the FIFA administration who is responsible, together with the chairperson, for the preparation and organisation of the meetings. 17.2 The chairperson shall coordinate meeting dates with the general secretariat. Meetings may be held in person or remotely. 17.3 The chairperson shall draw up the agenda in conjunction with the general secretariat. ARTICLE 19: BUREAU 19.1 The chairperson may set up a bureau to settle urgent or specific matters between its meetings. 19.2 Each bureau shall be composed of the chairperson (or deputy chairperson if the chairperson is unable to take part or if they delegate the task to the deputy) and at least two ordinary members appointed by the chairperson (or deputy chairperson). 19.3 A bureau decides by a simple majority (more than 50%) of all its members with the chairperson or deputy chairperson holding the casting vote. Abstentions are not counted. 19.4 All decisions taken by a bureau shall be ratified by the respective committee at its next meeting.

ARTICLE 20: FINANCE COMMITTEE 20.1 Composition a) The Finance Committee shall consist of at least three members and not more than the necessary number, all of whom must be qualified to deal with financial matters. b) No fewer than half of the committee’s members shall fulfil the independence criteria defined in Annexe 3 to these regulations. 20.2 The Finance Committee: a) advises on and assists with the financial management of FIFA; b) analyses and prepares FIFA’s budget to be submitted to the Council for approval; c) analyses and prepares the accounts and consolidated financial statements to be submitted to the Council; d) supervises the implementation of policies, rules and guidelines regarding FIFA’s overall strategy in financial and asset management matters; and e) advises on and assists with any other relevant matters relating to FIFA’s finances, except for operational matters. II. 21 Duties, powers, responsibilities and organisation of FIFA bodies and holders of key positions22.10 The Beach Soccer Committee deals with any matter relating to: a) the FIFA Beach Soccer World Cup™; b) the organisation of FIFA beach soccer competitions; and c) the development of beach soccer as a discipline generally.

COMMITTEE The Men’s Football Stakeholders Committee: a) advises on and assists with all matters relating to men’s professional football, particularly the structure of the game and the relationship between clubs, players, leagues, member associations, confederations, football fans and FIFA, as well as with issues relating to the interests of men’s club football worldwide; b) makes recommendations and proposals to be submitted to the Council concerning the structural development of men’s professional football;

COMMITTEE The Women’s Football Stakeholders Committee: a) advises on and assists with all matters relating to women’s professional football, particularly the structure of the game and the relationship between clubs, players, leagues, member associations, confederations, football fans and FIFA, as well as with issues relating to the interests of women’s club football worldwide; b) makes recommendations and proposals to be submitted to the Council concerning the structural development of women’s football; c) addresses fair-play matters, promotes the concept of fair play, promotes gender equality in football and fights discrimination in football worldwide; 22d) reviews and recommends, as necessary, updates to the Women’s International Match Calendar; and e) advises on and assists with any other relevant women’s professional football-related matters. ARTICLE 25: MEMBER ASSOCIATIONS COMMITTEE The Member Associations Committee: a) advis
