In this volume you will find, first of ail, a number of preliminary documents, including among others: a Re port on trusts and analogous institutions, drawn up by Messrs Adair Dyer and Hans van Loon, several docu ments dealing with spécifie types of trusts submitted by governmental experts or international organizations, the Conclusions of the Spécial Commission meeting of June 1982, preliminary drafts of texts and Comments of the Governments and International Organizations on those texts, as well as the Explanatory Report of Professor Alfred E. von Overbeck on the preliminary draft Convention adopted by the Spécial Commission of October 1983 and Comments of the Governments and International Organizations on that draft. Following are the minutes and working documents of the Second Commission, which dealt with this subject at the Fifteenth Session. Finally, the volume contains the minutes of the final session which approved the draft Convention, the text of the Convention which was adopted and the Explanatory Report of Professor Alfred E. von Overbeck. This Report is not limited to supplementing the Spécial Commission's Report, but rather constitutes an autonomous commentary on the Convention. Part one: The trust - Development and functional uses with some analogies Première partie: Le trust - Description de son développe ment et de son emploi fonctionnel, en tenant compte de certaines de ses institutions analogues CHAPTER I - INTRODUCTION CHAPITRE PREMIER - INTRODUCTION 1 The Fourteenth Session of the Hague Conférence on private international law in its Final Act signed October 25, 1980, Part E, decided that one of the topics to which the Conférence would give priority would be the prépa ration of a convention on the international validity and récognition of trusts. This was the first time that the subject of trusts had appeared on the Conference's agenda for future work. The initiative for taking it up had corne from the Permanent Bureau of the Confér ence which had suggested the topic in a Note dated December 1979 addressed to the Spécial Commission on future work and gênerai policy of the Conférence.
That Spécial Commission, which met in February 1980, had adopted the suggestion and recommended the topic to the Fourteenth Session. 2 At the Fourteenth Session there was very little dis cussion on this topic. Most delegates, whether from countries with légal Systems based on English common law and equity which included the concept of the trust or from civil law countries', which either had no trust concept or, in some cases, had adopted a form of trust by statute or court ruiing, warmly supported the pro posai. For example, an Englishman who has lived and worked in France for five years may have executed a will in England leaving ail of his property - both that located in England and that located in France - to a London bank as trustée for his wife and children. The handling of the succession in France, where he had his domicile, will give rise to difficulties, particularly in respect of immovable property. Quand on a voulu aller plus loin et donner une définition plus complète du trust, les résultats n'ont pas été convaincants.-' Les définitions les plus complètes sont encore loin de décrire les fonctions du trust ou les buts qu'il cherche à atteindre. C'est pourquoi le procédé par lequel une personne peut créer un rapport fiduciaire en transférant des biens à une autre personne, physique ou morale, cette personne agissant en tant que trustée, est d'un usage quasi universel. La souplesse du procédé permet de l'utiliser à diverses fins, allant du simple legs qui assure au conjoint ou aux enfants survivants les moyens de subvenir à leurs besoins, jusqu'à la création de vastes empires commerciaux ou financiers - pour ne rien dire de la fondation d'oeuvres charitables, de sys tèmes de pensions de retraite, de sûretés pour garantir un prêt, et de la mise en commun de droits de vote dans une société par actions, afin d'assurer la concordance des voix (voting trust). De même, ce procédé a permis de créer de gigantesques fonds d'investissements (unit trust). Nous étudierons dans le chapitre III de ce Rap port les diverses fonctions et les usages des trusts. Correspondingly, nationals of countries which do not have the concept of a trust may, after living in a common law country for many years, without think ing twice, create a trust pursuant to the System within which they live. The laws governing inter vivos gifts and testamentary bequests are not necessarily written in stone; and conscientious judges, lawyers and notariés usually wish to put into effect the wishes of a donor or testator. But the lack of corrélation between the institutions of the différ ent légal Systems causes a technical problem, starting with the fact that the laws of many countries simply do not have a category labelled 'trusts'. 3 In any event, even where there is a category called 'trusts', the composition of that category can prove to be deceptive. A trust in fact is a relationship, or a set of relationships, at least one of which is fiduciary in na ture. Efforts to go further and to achieve a comprehensive définition of the trust have met with mixed results.^ The most comprehensive définitions still fall short of describing the functions or purposes which the trust is to serve. The flexibility of the device has caused it to be used for diverse purposes, ranging from the simple estate plan to provide for a surviving spouse and children in accordance with their respective needs, to the création of vast business and financial empires - to say nothing of the création of charitable foundations, the establishment of pension schemes, the provision of security for loans, and the pooling of vot ing interests in corporations in order to hold together the shares of a control group (voting trust). Likewise, giant investment funds (or unit trusts) have been created through the use of this device. The essential point here is to stress the flexibility and universality of the trust device, which has proved to be so useful that courts in countries which know the trust concept sometimes will imply the trust in law (constructive trust)^'^, in order to fashion an appropriate remedy for a claimant who has been treated in an inéquitable manner. Here we gladly quote Professor Limpens, from the foreword to a dissertation on trusts; Rome has made a synthesis of the law of contract: France a synthesis of the law of torts; England a synthesis of the law of fiduciary relationships. It must be believed that a fundamental synthesis requires such an amount of cleverness and tenacity that one civilisation can hardly realise more than one at the same lime. If indeed England and the Systems derived from English law have achieved a synthesis of the law of fiduciary relations, this should make us ail aware that many légal relationships for which the trust framework is used will appear in other légal Systems in the form of individual or fragmented légal specialities. Perhaps this will help us better to understand the fact that some countries or territorial units which have brought the trust into their Systems and therefore have had to adapt their Systems and the trust institution to each other have chosen to adopt the trust institution for some purposes, but have

When they are so. placed opposite each other across the table, the analo gies will become more apparent and the means for resolving what are essentially theoretical différences may émerge into view.
